Terms of Service

Effective Date: March 31, 2026

1. Introduction

Welcome to The Taino Resource Group LLC (“TRG,” “we,” “our,” or “us”). These Terms of Service and Privacy Policy govern your access to and use of all websites, platforms, services, and divisions operated by TRG, including but not limited to:

By accessing, browsing, submitting information, communicating, authorizing work, or making payment, you agree to be legally bound by these Terms. If you do not agree, you must discontinue use immediately.

2. Acceptance & Binding Agreement

Agreement to these Terms is established through any of the following:

  • Use of our websites or services
  • Submission of forms or inquiries
  • Written communication (email, messaging, documents)
  • Verbal authorization or approval
  • Payment of any invoice, deposit, or fee

Agreement to these Terms is binding regardless of format, including but not limited to: email, SMS, WhatsApp, written communication, verbal authorization, or any digital interaction. Payment of any deposit, invoice, or fee constitutes full and irrevocable acceptance of all Terms.

2.1 Client Responsibility

It is the sole responsibility of the client to read, understand, and agree to these Terms prior to engaging services. Failure to review these Terms does not exempt the client from full compliance.

3. Data Collection & Privacy

We collect personal and non-personal information, including but not limited to:

  • Name, email address, phone number
  • Business information and submitted materials
  • IP address, browser type, device data, and interaction analytics

By submitting information, you consent to our collection, storage, processing, and internal use of such data. We may retain data indefinitely unless deletion is requested and legally permitted.

4. No Guarantees / Assumption of Risk

TRG provides services on a best-effort basis only. We make no guarantees regarding outcomes, results, revenue, profitability, rankings, conversions, performance, or business success.

All services are undertaken at the client’s sole risk.

5. Fees, Payments & Pricing

All fees, payments, retainers, subscriptions, deposits, and service charges are strictly non-refundable under any circumstances. No exceptions will be made.

Funds are considered earned upon receipt. By submitting payment, the client acknowledges full agreement with all Terms and forfeits any claim to refunds, chargebacks, or reimbursement.

6. Web Design, Hosting & Asset Ownership

All website assets, designs, code, layouts, graphics, content, configurations, and systems created by The Taino Web Design Studio are the exclusive property of The Taino Resource Group LLC, unless explicitly disclosed in writing.

  • Website migrations off TRG hosting: $750.00 fee
  • Domain transfers away from TRG servers: $100.00 per domain

Licenses may be revoked upon termination or non-payment. Unauthorized reuse or redistribution is prohibited.

All services provided by The Taino Resource Group LLC are for the delivery of a completed, functional, and deployed digital product. Clients are paying for the final delivered and launched solution, not for underlying source code, file structures, or development assets unless explicitly stated in writing.

Quotes and pricing are based on solutions hosted, maintained, and operated within TRG-managed environments. External deployment or transfer requests fall outside original scope and may incur additional fees.

6.2 Domain Ownership & Control

Domains included at no additional cost are purchased and maintained under The Taino Resource Group LLC. Ownership remains with TRG unless explicitly transferred in writing.

In cases of non-payment, TRG retains full rights to retain, sell, repurpose, or use the domain at its sole discretion without limitation.

Approved domain transfers may incur administrative or transfer fees.

6.3 Revisions Policy

Projects include a limited number of revision rounds, typically ranging between two (2) and four (4) rounds depending on project scope and complexity, as determined solely by TRG.

A revision round is defined as one consolidated set of changes submitted by the client. Multiple fragmented requests do not constitute separate revision rounds.

Revisions apply only to modifications of existing work and do not include new features, redesigns, or expanded scope.

Additional revisions beyond the included scope will be billed at current rates. TRG reserves sole authority in determining revision vs new work.

6.4 Hosting vs Maintenance

Hosting and Maintenance are separate services and billed independently.

Hosting refers to infrastructure, uptime, and system availability.

Maintenance refers to ongoing technical oversight as defined below.

Maintenance is not included in hosting unless explicitly stated.

6.5 Maintenance Services

Maintenance includes limited technical oversight and support for systems developed and hosted by TRG.

May include:

  • System monitoring
  • Minor corrections
  • Basic content updates
  • Security monitoring

Does NOT include:

  • New features or redesign
  • Custom development
  • Third-party integrations
  • Client-caused recovery

Out-of-scope requests will be billed separately.

6.6 Service Dependency

Ongoing support depends on active hosting and maintenance services.

TRG reserves the right to deny support if services are inactive or accounts are not in good standing.

7. Social Media & Licensed Assets

All social media content, campaigns, graphics, copy, and marketing assets produced by TRG are licensed assets and remain the exclusive property of The Taino Resource Group LLC. Reuse or redistribution without written permission is prohibited.

8. Data Loss Disclaimer

TRG is not responsible for data loss, corruption, outages, security incidents, third-party failures, or service interruptions. Clients are solely responsible for maintaining independent backups.

9. Limitation of Liability

To the fullest extent permitted by law, The Taino Resource Group LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of revenue, loss of data, loss of business, or interruption of operations, arising out of or related to the use of our services, systems, or platforms.

In all cases, TRG’s total liability for any claim, dispute, or cause of action shall not exceed the total amount paid by the client to TRG for the specific service giving rise to the claim.

TRG shall not be responsible for damages resulting from:

  • Client misuse, misconfiguration, or failure to follow guidance
  • Third-party services, platforms, or integrations
  • Hosting outages, infrastructure failures, or external disruptions
  • Security breaches, data loss, or unauthorized access

All services are provided “as is” and “as available,” without warranties of any kind, express or implied. Use of services is at the client’s sole risk.

10. Arbitration & Governing Law

All disputes shall be resolved through binding arbitration in Puerto Rico. You waive any right to jury trials or class actions.

10.1 Updates to Terms

The Taino Resource Group LLC reserves the right to modify, update, or revise these Terms at any time without prior notice.

Continued use of our services, platforms, or systems after any changes constitutes full acceptance of the updated Terms.

11. IDX / MLS Data Disclaimer

For services involving real estate data integrations, including but not limited to IDX, MLS, or third-party listing feeds, The Taino Resource Group LLC acts solely as a technical intermediary and does not control, verify, or guarantee the accuracy, completeness, or timeliness of such data.

Clients acknowledge that all real estate data is subject to the rules, regulations, and limitations of the originating MLS or data provider, including but not limited to display requirements, attribution standards, and usage restrictions.

TRG shall not be held liable for errors, omissions, delays, compliance issues, or disruptions related to third-party data sources, including IDX or MLS feeds.

11.1 IDX / MLS Client Responsibility & Indemnification

The client (including agent, broker, or entity utilizing IDX/MLS data) is solely responsible for compliance with all applicable MLS, IDX, and data provider rules, including but not limited to display requirements, attribution standards, licensing, and permitted use of data.

The Taino Resource Group LLC provides technical implementation only and does not assume responsibility for the client’s compliance with MLS or IDX regulations.

The client agrees to indemnify, defend, and hold harmless The Taino Resource Group LLC from and against any claims, damages, liabilities, penalties, fines, or legal actions arising from:

  • Violation of MLS or IDX rules by the client
  • Improper use or display of listing data
  • Failure to maintain required licensing or authorization
  • Modifications made by the client or third parties

This indemnification obligation survives termination of services.

11.2 Post-Delivery Compliance Responsibility

The Taino Resource Group LLC ensures that IDX/MLS integrations are implemented in accordance with applicable requirements at the time of delivery.

Any modifications, alterations, content changes, structural updates, or third-party integrations made after delivery—whether by the client or any external party—may impact compliance.

TRG shall not be held liable for compliance violations resulting from changes made after delivery, including but not limited to removal of attribution, improper display, or unauthorized use of data.

Continued compliance may depend on active maintenance services. TRG assumes no responsibility for ongoing compliance monitoring unless such services are explicitly included in an active agreement.
